: I would like to deed my second home/investment house to my S corporation, then my S corporation will deed the house to my buyer. In this way I will avoid the 3.3% California withholding tax, right? Well, my title company said I need a "corporate resolution" for my S corporation. The "corporate resolution" is a form which will name ME as the person to sign RE documents on behalf of the corporation. Can someone explain this to me? How can I create a simple "corporate resolution" myself so that I can do this transaction? Any one know the correct verbiage? Or, must I go to a lawyer? The escrow is due to close in a few days. There is not a lot of time or money for a lawyer to do this "corporate resolution".

: Any and all help is greately appreciated.

I just did this exact same thing.....

the corporate resolution basically something that all the direcotors (in my case that is me, myself and I!!)
sign that gives permission for this to happen.

there is a specific corporate resolution format that you should use.
