What's a "corporate resolution"? How to write one?

Posted by Sara_CA on November 14, 2003 at 2:59 PM

I would like to deed my second home/investment house to my S corporation, then my S corporation will deed the house to my buyer. In this way I will avoid the 3.3% California withholding tax, right? Well, my title company said I need a "corporate resolution" for my S corporation. The "corporate resolution" is a form which will name ME as the person to sign RE documents on behalf of the corporation. Can someone explain this to me? How can I create a simple "corporate resolution" myself so that I can do this transaction? Any one know the correct verbiage? Or, must I go to a lawyer? The escrow is due to close in a few days. There is not a lot of time or money for a lawyer to do this "corporate resolution".

Any and all help is greately appreciated.
