Buying defaulted junior notes?

Ward,

I was doing title research on a JBB prospect and found that shortly after the 1st filed a NOD the 2nd filed one also. Is this a dead deal, or is it possible to buy out this 2nd, reinstate the 1st, and then continue the foreclosure process they already started?

Another question regarding title research came up. If title to a property is transfered as a gift via a Grant Deed with a document transfer tax of zero, and the Grant Deed is immediately followed by a trust deed with a institutional lender, and there is a titile order number and and escrow number, would this constitiute a free and clear property? Or should I continue searching back in time for a Grant Deed that was computed at full value before proceeding forward with my search?
