Re: Securities Implications of Raising Investment CapitalIn Reply to: Securities Implications of Raising Investment Capital posted by John Liu on December 13, 2001 at 8:29 AM
: Has anyone had any experience with addressing the federal and state securities implications of raising capital from private, individual investors for the purpose of purchasing and improving foreclosure properties? The laws I am taking into consideration while I begin researching this issue are the Securities Act of 1933, the Securities Exchange Act of 1934, and the state securities laws specific to my state (Florida). Thanks. =========== One of the best ways to prepare yourself in this area would be to take a securities law class for one semester at a local law school. You dont have to have the goal of becoming an attorney to attend any particular class and you can audit whatever class they offer for the cost of the units it involves. A step down from that would be to just buy the securities law outline and text thats used in such a class and read and study on your own. Another approach would be to go to your public law library in town and ask the reference librarian to direct you to both the federal law and state law references on the topic of securities law. Hope this works. Follow Ups: Post a Followup:
